Terms of Service

The terms and conditions governing your use of the LicenceForge website and software.

1. Acceptance of Terms

By accessing or using the LicenceForge website (licenceforge.com) and purchasing or using the LicenceForge software (“the Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the website or software.

These Terms constitute a legally binding agreement between you and 352 Digital S.à r.l. (“we”, “us”, “our”), a company registered in Luxembourg.

2. Definitions

  • “Software” refers to the LicenceForge WordPress plugin, including all updates, patches, and accompanying documentation.
  • “Licence” refers to the right to use the Software as granted under these Terms.
  • “Client Library” refers to the PHP files provided for integration into your own WordPress plugins and themes.
  • “Website” refers to licenceforge.com and all its subdomains.

3. Licence Grant

Upon completing a valid purchase, we grant you a non-exclusive, non-transferable, lifetime licence to:

  • Install and use the Software on one (1) WordPress installation as a licensing server.
  • Manage unlimited products and issue unlimited licences to your customers.
  • Modify the Client Library files for integration into your own plugins and themes.
  • Receive all future updates to the Software at no additional cost.

4. Restrictions

You may not:

  • Redistribute, resell, sublicence, or share the Software or your licence key with third parties.
  • Use the Software on more than one installation without purchasing additional licences.
  • Remove or alter any copyright notices, licence notices, or attributions in the Software.
  • Use the Software for any unlawful purpose or in violation of applicable laws.
  • Reverse engineer, decompile, or disassemble the Software beyond what is permitted under applicable law (including the GPL).

5. Open Source Licensing (GPL)

The Software is distributed under the GNU General Public License v2 or later (GPLv2+). These Terms do not restrict any rights you have under the GPL. Where these Terms conflict with the GPL, the GPL takes precedence for the Software’s source code.

The commercial licence you purchase provides access to updates, support, and the licensing infrastructure — the GPL applies to the code itself.

6. Payment & Pricing

  • The Software is sold as a one-time payment. There are no recurring subscription fees.
  • All prices are in euros (€) and are inclusive of any applicable VAT unless stated otherwise.
  • Payment is processed securely by Stripe. We do not store your full credit card details.
  • Upon successful payment, your licence key is delivered automatically to the email address you provide.

7. Refunds

As the Software is a digital product delivered immediately upon purchase, refunds are not available once the software has been downloaded. Please review the product features and documentation carefully before purchasing.

8. Updates & Support

  • Your licence includes lifetime access to all future updates, including new features, security patches, and compatibility fixes.
  • Support is provided via our contact form and documentation wiki.
  • We endeavour to respond to support requests within 1–2 business days.
  • Support covers the Software’s core functionality. We cannot provide support for custom modifications you make to the source code.

9. Website Use

When using this website, you agree not to:

  • Attempt to gain unauthorised access to any part of the website or its infrastructure.
  • Use automated tools (bots, scrapers) to access the website in a manner that could impair its performance.
  • Submit false or misleading information through forms or the API.
  • Upload or transmit malicious code, viruses, or other harmful material.

10. Intellectual Property

The LicenceForge name, logo, website design, documentation, and all associated branding are the intellectual property of 352 Digital S.à r.l. and are protected by copyright and trademark law.

The Software’s source code is licensed under the GPLv2+ as described in Section 5. This does not transfer ownership of the intellectual property.

11. Warranty Disclaimer

The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free or uninterrupted.

12. Limitation of Liability

To the maximum extent permitted by applicable law, 352 Digital S.à r.l. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Software or website.

Our total cumulative liability shall not exceed the amount you paid for the Software.

13. Termination

We may suspend or terminate your licence if you materially breach these Terms. Upon termination:

  • Your right to receive updates and support ceases.
  • You must uninstall the Software from your server.
  • Licences you have issued to your own customers through the Software remain valid (we will not disrupt your customers).

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Luxembourg City.

15. Changes to These Terms

We reserve the right to update these Terms. Material changes will be communicated by updating the effective date and, where appropriate, by email notification. Your continued use of the Software after changes constitutes acceptance of the revised Terms.
